Company Information
ARGO is a brand of WEMAP, a simplified joint stock company headquartered at 1025 rue Henri Becquerel, 34000 Montpellier, France (Trade Register #793 369 075). WEMAP develops and operates 2D and 3D augmented reality image recognition solutions.
1. Definitions
- Anomaly: Substantial, reproducible non-compliance with documentation
- Marker: Physical medium (printed page, book cover, poster, brochure, etc.) and associated content triggering interaction
- ARGO Platform: Interface allowing Clients to manage markers, interactions, and view usage statistics
- ARGOplay: Augmented Reality application made available to Clients and End Users
- Scans: Identification of activated markers by the application
- White Label Services: Development and technical support for customised applications
- SDK Services: Provision of software tools for integration with client applications
2. Duration & Term
- ARGOflow Trial: 14 calendar days of free access, requires registration
- Initial Term: Minimum 12 months from product availability
- Renewal: Automatic 12-month renewals unless terminated with 3 months' notice
3. Service Description
Services include non-exclusive, non-transferable access to ARGO applications, hosting within the European Union, initial technical support with specified time credits, and annual maintenance including SDK and application updates. API access for automatic marker creation is available on applicable subscription plans.
4. Client Restrictions
Clients are prohibited from:
- Modifying or adapting products
- Licensing, selling, or renting products to third parties
- Reverse engineering or decompiling
- Allowing non-authorised users to access the Platform
- Creating derivative or competitive products
5. Financial Conditions
Prices are in Euros, excluding VAT. Services are invoiced annually upon contract signature and due 30 days after invoice date. Late payment penalties apply at the European Central Bank refinancing rate plus 10 percentage points, plus a €40 flat-rate recovery indemnity per unpaid invoice. ARGO may suspend services for non-payment.
6. Intellectual Property
All products (executable code, source code, documentation) and all intellectual property rights are and remain the exclusive property of ARGO. Clients cannot remove or modify proprietary notices. ARGO defends clients against third-party IP infringement claims resulting from authorised product use.
7. Confidentiality
Both parties must preserve confidential information obtained during negotiation and execution of the agreement. ARGO technology, service information, know-how, and commercial strategy are considered confidential. Obligations continue for five months after agreement termination.
8. Personal Data & Cookies
ARGO acts as Data Controller for Client data; the Client acts as Data Controller for End User data, with ARGO as Subcontractor. Please see our Privacy Policy and Cookie Policy for full details.
9. Liability
ARGO is liable for foreseeable direct losses resulting from non-performance of obligations. ARGO is not liable for indirect damages including commercial loss, loss of orders, loss of profits, damage to brand image, or loss of data. If liability is established, it is limited to the total sums invoiced to the Client during the twelve months preceding the claim.
10. Termination
Either party may terminate by registered letter after 30 days' notice for material breach, provided the breach remains uncured. Immediate termination is available for IP infringement or confidentiality breaches. Upon termination, all usage rights cease and Client data is accessible for a maximum of one month before destruction.
11. Governing Law & Jurisdiction
French law governs this agreement. Montpellier courts have exclusive jurisdiction for disputes, after one month of attempted amicable resolution.
